These Terms of Service ("Terms") govern your access and use of the website Varnex AI and AI trading platform (collectively, the "Service") operated by Varnex AI Inc. ("Varnex AI", "we", "us" or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Eligibility
You must be at least 18 years old to use the Service. By using it, you confirm that you meet this requirement and have legal capacity to agree to these Terms. The Service is unavailable in jurisdictions where its use is prohibited by law.
2. Account Registration
To access full Service features, you must create an account with accurate, current and complete information. You’re responsible for keeping your login details secure and for all activity on your account. You agree to notify us immediately at if you suspect any unauthorised access.
We reserve the right to suspend or terminate accounts that breach these Terms, contain false information or engage in fraudulent or abusive conduct.
3. The Service — Nature and Limits
Varnex AI provides AI-powered market analysis, trading signals, and optional automated order execution via connected brokerage accounts. The Service is intended for informational and analytical purposes only.
- Varnex AI does not hold, custody, or manage your funds. All capital remains in your personal brokerage or exchange account.
- We connect to your broker via API keys with read and execute permissions only. These keys cannot be used to withdraw funds.
- Past performance of any strategy or signal does not guarantee future results.
- Trading involves risk of loss, including possible loss of principal.
4. No Financial Advice
Nothing on the platform Varnex AI constitutes financial advice, investment advice, trading advice, or any other form of advice. AI signals and analytics provided are for informational purposes only. You should consult a qualified financial advisor before making investment decisions. Varnex AI is not a registered investment advisor, broker-dealer, or financial planner.
5. Fees and Payment
Certain Service features require a paid subscription. Fees are detailed on our pricing page and may change with 30 days' notice. All fees exclude applicable taxes, which you are responsible for. Subscriptions are billed in advance monthly or annually. Refunds are at our discretion within 14 days of initial charge for new subscribers only.
6. Acceptable Use
You agree not to:
- Use the Service for illegal purposes or in violation of applicable laws.
- Attempt to decompile, disassemble or extract source code from the platform.
- Use automated scripts to scrape, crawl or extract data from the Service.
- Resell, sublicense, or commercially exploit any part of the Service without prior written consent.
- Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
- Engage in market manipulation, front-running, or any other activity violating financial regulations.
7. Intellectual Property
All content, software, algorithms, trademarks, and trade secrets embedded or made available through the Service are the exclusive property of Varnex AI or its licensors. Nothing in these Terms grants you any rights, title, or interest in the foregoing content. You may not use our trademarks or logos without prior written consent.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Varnex AI WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Varnex AI WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, TRADING LOSSES, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID TO Varnex AI IN THE 12 MONTHS PRIOR TO THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless Varnex AI and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your breach of these Terms, or your violation of any third-party rights.
11. Termination
You may terminate your account anytime via account settings or by contacting . We may suspend or terminate your access immediately upon breach of these Terms. After termination, your right to use the Service ends immediately and we may delete your account data in accordance with our Privacy Policy.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any dispute arising from these Terms will initially be resolved through binding arbitration in London under the American Arbitration Association rules. Users located in the EU or UK may also bring claims before their local competent courts.
13. Changes to These Terms
We may update these Terms at any time. Substantial changes will be preceded by at least 14 days' notice via email or platform banner. Continued use after the effective date constitutes acceptance of the updated Terms.
